Terms of Service

By accessing or using MERIDIANO's website and services, you confirm that: • You have read, understood, and agree to be bound by these Terms • You have the legal capacity to enter into a binding contract • The entity you represent (if applicable) is authorized to accept these Terms • You comply with all applicable laws and regulations If you do not agree to these Terms, please do not use our services.

MERIDIANO provides OEM/ODM development, sampling and manufacturing enquiries for bags, wallets and accessories. Samples and visual demonstrations support design discussions. Materials, construction, quantities, prices, delivery dates and other commercial terms are subject to separate confirmation between the parties. The customer area uses email-code sign-in and provides profile, enquiry and order-progress access. An account can be created when an email address is first verified. Use only an email address you are authorized to use, provide accurate information, and do not share codes or try to access another person’s records. Submitting an enquiry or viewing a quotation or order status does not itself make a payment or automatically conclude a sale. Progress and estimated dates may change as a project develops; commitments are governed by the agreed commercial documents. Online payment-card processing is not provided. When using our services, you agree to: • Provide accurate, complete, and up-to-date information • Maintain the confidentiality of your account credentials • Notify us promptly of any unauthorized use • Comply with all applicable laws and regulations • Not engage in any fraudulent, illegal, or harmful activities • Not interfere with or disrupt our services • Respect the intellectual property rights of us and third parties • Fulfill payment obligations in a timely manner Violation of these obligations may result in service termination and legal action.

Ownership: • All content on our website (text, images, logos, designs) is owned by MERIDIANO or its licensors • You do not acquire any intellectual property rights by using our services • Reproduction, modification, or distribution of our content is prohibited without written permission Custom Products: • Intellectual property rights in designs and specifications you provide remain yours • We may use your designs to fulfill your orders • You grant us permission to use your products for marketing purposes (unless otherwise agreed) Trademarks: "MERIDIANO" and related logos are our registered trademarks. Unauthorized use is prohibited.

To the maximum extent permitted by law: • We provide services on an "as is" and "as available" basis • We do not guarantee that services will be uninterrupted or error-free • We are not liable for indirect, incidental, special, or consequential damages • Our total liability for any claim does not exceed the amount you paid in the past 12 months • We are not responsible for the actions or content of third parties • We are not liable for delays or failures due to force majeure events Product Warranties: • Product quality warranties will be specified in separate commercial contracts • Claims must be made within a reasonable time after receipt of products • Our liability is limited to repair or replacement of defective products

We may suspend or terminate your access if: • You violate these Terms • You engage in fraudulent or illegal activities • You fail to make timely payments • Required by law or regulatory authorities • For business reasons (with reasonable notice) You may terminate your use of our services at any time by contacting us. Upon termination: • You must cease using our services • All outstanding payments become immediately due • We may delete your account and data • Terms that by their nature should survive (e.g., intellectual property, limitation of liability) remain in effect
